Please read these terms carefully. By agreeing to participate in the Program, you agree that you have read, understood and accepted these Terms and that you will be bound by and will comply with these Terms.

  1. “Space B” (“Program”) held at STATION F, 5 parvis Alan Turing 75013 Paris France is organized by BNB Chain Innovation Limited (referred to in these terms and conditions as "BNB Chain Innovation”, “us”, “we”, “our” or the “Organizer”).
  2. Applicability: These terms and conditions (“Terms”) apply to all interested applicants of the Program who have submitted a completed application form and whose projects have been accepted by BNB Chain Innovation to be participants of the Program (also referred herein as “you” or “Participants”). Based on the information provided, we will evaluate your request to be accepted as a participant in this Program. Only applicants successfully selected and invited by us will be eligible to participate in the Program as a Participant. For clarity, please note that: (a) your submission and our successful receipt of a completed application form from you, shall not itself be construed as an acceptance by us of your request to participate in the Program (or confirmation of your status as an accepted participant of the Program); (b) only accepted applicants will be notified; (c) we reserve the right, in our sole and absolute discretion, to decide whether or not to accept your request to participate; and (d) all such decisions by us shall be final and non-appealable. Your continued participation in this Program shall constitute your continued acceptance of these Terms and all other terms that are incorporated herein, including any updates or modifications to them from time to time.
  3. Eligibility criteria: By confirming your participation to the Program, you hereby represent and warrant that you are 18 years old and above, have full legal capacity, have all legal rights and ownership on the projects you have submitted to participate in the Program and sufficient authorizations to enter into these Terms with us.
  4. Precedence of BNB Chain. You understand and agree that by participating in the Program, you agree to deploy the project that you have submitted for participation to the Program on BNB Chain, prior to any other blockchain and to not deploy it on any other blockchain for a period of six (6) months following participation in the Program.
  5. Attendance: Participants who have been found eligible for the Program will be entitled to access and use the Program venue and will have the right to participate in the training and consultancy sessions that will be provided by specialists (each, a “Mentor”), specifically crafted for the Participants or by other Participants interested in sharing their learnings and experiences. ****You understand and agree that by participating in the Program, you are required to attend at least 2 (two) days per week. In case of failure, you may be prevented from attending or participating in the Program or in any future events that may be organized by BNB Chain Innovation.
  6. Term of Program: Participants are to partake in the Program for an initial period of two (2) months. BNB Chain Innovation may invite Participants to return for a future term of two (2) months to a maximum of six (6) months total.
  7. Cost of participation: No fees are payable to participate in this Program.
  8. Program Cancellation or Postponement: BNB Chain Innovation reserves the right to cancel and/or postpone the Program for any or no reason (including, without limitation, by reason of a force majeure event). BNB Chain Innovation shall notify participants of any cancellation or postponement as soon as reasonably practicable. ****You agree that BNB Chain Innovation shall not be in breach of these Terms by virtue of any such cancellation or postponement, and you hereby waive any and all claims against, and release and discharge BNB Chain Innovation from any and all claims that you have or may have in relation to the same.
  9. Termination: Participants may leave the Program at any time. BNB Chain Innovation reserves the right to revoke your invitation to participate in the Program at any time.
  10. Materials provided by us: As part of our conduct of the Program, we will provide the venue and reasonable working space for you to carry out your discussions and work, WiFi internet connectivity, food and beverages, technical support and other reasonable onsite logistics.
  11. Bring your own devices: Participants are required to procure and use their own laptops for the purpose of participating in this Program. We also reserve the sole and absolute right and discretion to prohibit or restrict the use of any device at the Program.
  12. Program rules and mechanics:
    1. If you are participating as a team, please note that teams must comprise only accepted applicants. To form a team, the team leader should contact us to let us know the team name, and names of all the team members.
    2. Participants must not access another participant’s electronic devices without authorisation, or retrieve or download data from those devices without authorisation.
    3. Participants must not defame, harass, abuse, threaten, or defraud other participants of the Program, or collect or attempt to collect, personal information about users or third parties without their consent;
    4. Participants must comply with all applicable laws and not perform any illegal activities or conduct;
    5. Participants must conduct themselves with integrity and honesty at all times throughout the Program. Participants must provide truthful and accurate information to us at all times, including the contents provided in the application form;
    6. Participants must not do anything that might undermine or interfere with the smooth conduct and running of this Program, violate any applicable or, or contain any lewd or inappropriate content (as may be determined by us in our sole and absolute discretion)
    7. Participants must provide such additional information as may be required by us from time to time;
    8. Participant must not conduct himself or herself in a manner that may cause damage or harm to, or discredit, the Organizer or its brand’s reputation, or that may result in adverse publicity to Organizer or its brand
    9. Participant must not misuse any information or data belonging to Organizer, other participants or other third parties, whether as part of its Submission or otherwise
    10. Participant must not use any of the Organizer’s intellectual property rights (including brand logos etc), unless permitted to do so by Organizer
  13. Participant obligations: All Participants must comply with the Terms as set out herein any other rules, guidelines and requirements that we may announce or impose from time to time as we deem fit, and any applicable terms of use or code of conduct in relation to any third party platforms (if any and permitted by us to be used by participants). For the avoidance of doubt, participants also agree to the terms of use published on BNBChain.org (if any) (as may be amended and updated from time to time), if and to the extent that they apply, as part of participant’s activities during the Program.
  14. Intellectual Property:
    1. You represent and warrant that all work product that you created and submitted during the Program, if any, is your or your team’s original work and idea, and does not infringe any third party intellectual property rights or is illegal in any way.
    2. Without prejudice to the generality of the above, you are prohibited from transmitting any content that violates the law, infringes anyone’s intellectual property rights, violates anyone’s privacy, or breaches any agreement you have with others or any, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material, or any other material that could give rise to any civil or criminal liability under the applicable laws.
    3. Nothing in these Terms (or the activities contemplated hereunder) shall be construed as providing or transferring to participant any right, license or permission to deal with BNB Chain Innovation’s intellectual property rights unless otherwise provided in these Terms, or where express written consent had been given by BNB Chain Innovation.
    4. The term “intellectual property rights” used in these Terms includes but is not limited to any patent, copyright, design right, trade mark, service mark, trade dress, trade name, goodwill, geographical indication, graphical user interface, image rights, moral rights, integrated circuit layout-design right, know-how, confidential information, trade secret, any application (whether pending, in process or issued) for any of the foregoing, and any other industrial, intellectual property or protected right similar to the foregoing (whether registered, registrable or unregistered) in any country and in any form, media, or technology now known or later developed.
  15. Recordings: We ****may photograph, videotape or otherwise record, collect and reproduce (generate “Recordings” of) the image, picture, portrait, likeness, appearance, performance, name, pseudonym, voice and any biographical information or other statements made by the Participants in connection with the Program. You acknowledge and agree that we exclusively own the Recordings. You hereby grant an revocable, perpetual, royalty-free, and worldwide right and licence to us to use, reproduce, distribute, display, modify, perform, make available, and reuse in any manner and all media the Recordings for the purposes of the Program and more generally for inclusion in any of our promotional, advertising or marketing materials. You understand and agree that it is strictly prohibited for all Participants to take any Recordings during or in connection with the Program. Any Recordings that may be taken by any Participant during or in connection with the Program is a breach of these Terms and shall be destroyed immediately upon BNB Chain Innovation’s request.
  16. Confidentiality:
    1. In these Terms, “Confidential Information” shall mean all and any business, financial, technical, operational, engineering or commercial information, compliance information, client or customer databases, source or object codes, trade secrets or any other industrial property or information, data, know how, business or marketing plans or strategies that may be shared by BNB Chain Innovation, Mentor or other Participants and any information or materials which had been provided to a Participant under or for the purposes of these Terms and/or the Program (if any).
    2. Any Confidential Information disclosed by BNB Chain Innovation, any Mentor or any other Participant during the Program shall not be disclosed to any third party, or be used for purposes outside of these Terms, without the prior written consent of BNB Chain Innovation.
  17. Miscellaneous:
    1. A person who is not a party to these Terms shall have no lawful right to enforce any of these Terms.
    2. If there is any inconsistency between these Terms and any other collateral or materials that are provided to you, such inconsistency shall be resolved in favor of BNB Chain Innovation.
